The California Attorney General is reviewing the proposed change in control
and governance of St. Joseph Health System, a California nonprofit public
benefit corporation, and Providence Health & Services, a Washington
nonprofit corporation, as required by Corporations Code section 5920 et
seq. St. Joseph Health System through its affiliates operates Petaluma
Valley Hospital under a lease agreement with Petaluma Health Care District
and controls the nonprofit corporation that owns and operates Santa Rosa
Memorial Hospital. The “Health System Combination Agreement”
is between St. Joseph Health System and Providence Health & Services.
The Agreement establishes a system wide level of governance of both nonprofit
corporations through the creation of a new Washington nonprofit corporation
called Providence St. Joseph Health also referred to as NewCo.
The California Attorney General will conduct a public meeting concerning
Petaluma Valley Hospital and Santa Rosa Memorial Hospital on April 22,
2016, beginning at 9:00 a.m., at Sonoma State University Ballrooms, 1801
E. Cotati Ave, Rohnert Park, CA 94928. The purpose of the public meeting
is to receive comments on the proposed change in control and governance
of each facility and to consider the Health Care Impact Statement prepared
by consultants engaged by the California Attorney General in connection
with the California Attorney General's review of this proposed transaction,
as required by Corporations Code section 5920 et seq. Prior to the public
meeting, the Health Care Impact Statement will be available on the California
Attorney General's website at http://www.oag.ca.gov/charities/nonprofithosp.
Persons wishing to present their views orally at the public meeting may
do so by submitting a sign-up sheet available at the public meeting, by
